Terms of Service

This English version is provided for convenience. If it differs from the Japanese version, the Japanese version prevails. These Terms of Service (the “Terms”) set out the conditions for using DocRelay (the “Service”), a service for issuing documents from templates and delivering them, provided by SHANNON LIMITED LIABILITY COMPANY (“we”). Companies, organizations and individuals who use the Service (“you”) agree to these Terms.

1. Scope

These Terms apply to every aspect of your use of the Service. Documentation we publish on the Service forms part of these Terms.

2. Accounts

  1. You provide true and accurate information when you register.
  2. You are responsible for your API keys and the accounts you sign in with (email address, Google, GitHub, passkeys and so on), and must not disclose or lend them to others. Actions taken with your API keys are treated as your actions.
  3. If you suspect an API key has leaked, revoke it in the dashboard without delay.

3. The Service

  1. The Service issues documents (PDF, Excel, Word, CSV, zip and so on) from the templates you register and the data you send through the API, delivers them by the method you select (API response, expiring URL, your own storage and so on), notifies you on completion, and records a tamper-evident log.
  2. The Service is being prepared for launch, and features become available in stages. We announce available features in the documentation on the Service.
  3. We may change the Service without notice. Changes to pricing or plans are announced on the Service in advance.

4. Fees and payment

  1. Fees and what each plan includes (monthly volume, retention period and so on) are as shown on the pricing table. Prices exclude tax.
  2. Documents issued in test environments do not count toward your monthly volume. When your monthly volume reaches the plan limit, issuing in live environments stops for the rest of the month. There are no overage charges; you can raise the limit by upgrading your plan.
  3. Monthly fees are paid in advance by credit card through our payment processor (Stripe).
  4. Fees paid are not refundable except where we are at fault. Upgrades take effect immediately and the prorated difference for the rest of the billing period is charged at that time; downgrades take effect from the next billing period.

5. Free plan

The free plan is for trying the Service. We may change what the free plan includes (number of projects and members, monthly volume, retention period) or stop offering it.

6. Prohibited conduct

When using the Service, you must not:

  1. break the law or public order, or risk doing so;
  2. infringe the privacy, reputation, intellectual property or other rights of others;
  3. issue documents intended to deceive others (such as forged documents), or deliver documents the recipient does not want;
  4. gain unauthorized access to our systems or anyone else’s through the Service;
  5. place excessive load on our servers or network, or reverse engineer the Service;
  6. do anything else we reasonably consider inappropriate.

7. Templates, data and documents

  1. Templates you register and data you send through the API are used only to issue and deliver documents and to display issuance history. We do not use them, or the issued documents, to train machine learning models.
  2. Data you send and documents we issue are deleted when your plan’s retention period ends. The tamper-evident log (the document’s hash, size, file name, issuance time and so on) is kept after deletion. The data you merge is never included in the tamper-evident log.
  3. You are responsible for keeping the original copies of your documents.
  4. You are responsible for obtaining any consent needed to include personal information in the data you send.

8. Suspension and changes

  1. We may suspend all or part of the Service without notice for maintenance, incidents, natural disasters or other unavoidable reasons.
  2. We may suspend your account if you breach these Terms or fail to pay fees.

9. Disclaimer

  1. The Service is provided as is. We do not warrant that it or the documents it issues fit your particular purpose (including legal requirements), or that documents will be received through webhooks, expiring URLs or your storage.
  2. Except in cases of our willful misconduct or gross negligence, our liability to you is limited to the fees you paid us in the month the damage arose.
  3. We are not responsible for disputes between you and third parties, including those who receive documents.

10. Cancellation

You can cancel a paid plan at any time in the dashboard. Cancellation takes effect from the next billing period, and fees up to that point apply. You can delete your organization and account at any time in the dashboard settings.

11. Changes to these Terms

We may change these Terms when we consider it necessary. Changes take effect when posted on the Service. We also notify registered email addresses of material changes.

12. Governing law and jurisdiction

These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction in the first instance over any dispute about the Service.
